Perkins Coie Advises Itron, Inc.’s Upsized $805 Million 0.00% Convertible Senior Notes Offering
SEATTLE (March 4, 2026)—Perkins Coie announced on Wednesday it has represented Itron, Inc. (NASDAQ: ITRI), a global leader in energy, water, smart city, Industrial internet of Things (IioT) and intelligent infrastructure services, in its $805 million offering of convertible senior notes in a private placement pursuant to Rule 144A under the Securities Act, which included the exercise in full by the initial purchasers of their option to purchase an additional $105 million aggregate principal amount of notes.
The private notes offering of 0.00% convertible senior notes due 2032 was increased from the previously announced offering size of $600 million.
