Introduction
Jude represents public and private companies in sophisticated corporate and securities matters.
Jude Gee has experience leading cross-border and domestic capital markets transactions, including initial public offerings, follow-on and secondary offerings, private investment in public equity transactions, Rule 144A/Reg S offerings, tender offers, exchange offers, and M&A transactions. He has drafted and negotiated registration statements, offering memorandums, underwriting agreements, purchase agreements, indentures, and other transaction documents.
Prior to joining Ashurst Perkins Coie, Jude oversaw all stages of transactional matters and counseled public companies on Exchange Act reporting, stock exchange compliance, and corporate governance obligations. He has represented a diverse range of clients, including issuers, underwriters, and institutional investors across various industries and sectors.
