Frank advises on international capital markets, M&A transactions and compliance matters. Frank has more than 20 years of experience of acting for corporates and investment banks on public and private offerings of equity and debt securities, including initial public offerings, private placements, follow-on offerings and debt programs, as well as on public and private M&A, privatization, joint ventures, spin-offs and other corporate restructurings. He has worked on matters throughout Asia Pacific, Europe and US, including for companies listed on the stock exchanges in Hong Kong, Australia, Shanghai, Singapore, Japan and the United Kingdom. His recent experience includes transactions for companies in the technology, health care, energy. consumer & retail, education, financial services, as well as for investment funds.

Frank is admitted as a solicitor in Hong Kong, England and Wales, being also qualified in Ireland. He passed the PRC bar exam in 2010.

  • Xizang Zhihui Mining Co., Ltd. | Advised client as a mining company focusing on zinc, lead and copper exploration, mining, production and sales of concentrates based in Xizang, China, on its HK$550m Hong Kong IPO, with Sinolink Securities (Hong Kong) and Maxa Capital acting as joint sponsors.
  • ICBC International | Advised client as the sole sponsor on the HK$586.3m Hong Kong IPO and global offering under Reg S of Hanx Biopharmaceuticals, a Wuhan-based biopharmaceutical company focused on innovative therapy R&D, with operations covering drug discovery, clinical development and manufacturing.
  • Leading Global Financial Institution and a Leading Chinese securities firm | Acted as joint sponsors and global coordinators on the US$1.28bn Hong Kong IPO of a leading third party mobile advertising platform and Rule 144A global offering.
  • BofA | Acted for client on a HK$3.9bn placing of new shares by China Resources Power Holdings Company Limited, a leading Hong Kong listed PRC energy company.
  • Alcoa Corporation | Acted for the client on entry into a binding Scheme Implementation Deed with Alumina Limited, under which Alcoa will acquire Alumina Limited in an all-scrip, or all-stock, transaction by way of a scheme of arrangement valued at A$5.56bn.
  • Orient Capital (Hong Kong) Limited and Nomura International (Hong Kong) Limited as joint financial advisers on the pre-conditional merger by absorption of Shanghai Jin Jiang Capital Company Limited (2006.HK) for and on behalf of Jin Jiang International Holding Company Limited for a total consideration of approx. HK$4.31bn. Following satisfaction of certain conditions, the H shares of Shanghai Jin Jiang Capital Company Limited were withdrawn from listing on the HKEx. Finalist in M&A Deal of the Year, Asian Legal Business Hong Kong Law Awards & China Law Awards 2023 – Midsize.
  • Mirae Asset Capital on its co-investment in Insilico Medicine, a biotechnology company based in Hong Kong, as a part of a US$255m series C financing led by Warburg Pincus.
  • Shagang South-Asia (Hong Kong) Trading Co., Ltd on its 24% stake in Global Switch, the leading owner, operator and developer of data centers in Europe and Asia Pacific.
  • CCB International Asset Management Limited as the buyer and investor on the acquisition of approx. 6.4 million ordinary shares, representing approx. 0.6% of the share capital in Miniso Group Holding Limited, for a consideration of US$25m.
