    Ashurst Perkins Coie advised Certares in connection with the capital reorganization of Voyageurs du Monde and the subsequent proposed public tender offer

    Ashurst Perkins Coie is assisting Certares in connection with the proposed delisting of Voyageurs du Monde, an operator specializing in tailor-made travel that has been listed on Euronext Growth for about twenty years. The project is structured around a first step in which Avantage, an unlisted entity already holding 62.24% of Voyageurs du Monde's share capital, will see its stake increased to 90.52% through the contribution of securities by its main shareholders, including Certares, and the acquisition of securities on the market. In a second step, during the second half of 2026, Avantage will launch a public offer for the remaining shares and convertible bonds, at a unit price of €180 and €182.52 respectively, with a view to delisting.

    The completion of this transaction would involve the implementation of a liquidity mechanism for the benefit of the founders and certain investors of Voyageurs du Monde.
