Introduction

Florian brings a distinctive combination of senior in-house and private practice experience to help clients navigate complex corporate, governance and M&A matters.

Prof. Dr. Florian Drinhausen demonstrates technical knowledge and industry experience in Corporate law, Boardroom Advice, Cross Border M&A with focus on financial industry. He is also a known authority on the European Corporation (SE), having advised on numerous SE creations in Germany. Florian has a distinguished career both in private practice and in various in-house roles.

From 2014 until joining Ashurst Perkins Coie, he held various senior leadership positions with Deutsche Bank, serving from 2018 as Global General Counsel and Chief Governance Officer of Deutsche Bank.

Before joining Deutsche Bank, Florian was equity partner in the Frankfurt office of an international law firm for more than 10 years. 

During his time at Deutsche Bank, Florian had responsibility for numerous litigation and regulatory investigation matters, including their settlement, AGM, governance, M&A and corporate matters.

Florian is honorary professor at EBS University for Business & Law.

  • FNZ Bank SE | Lead Partner | 2024–25 | Advising on the intra-group consolidation of the banking business through a demerger and universal succession pursuant to the German Transformation Act.
  • FNZ Bank SE | Lead Partner | 2024 | Advising on the establishment of a European Company (SE) by way of a cross-border merger, including regulatory coordination with BaFin.
  • Northern Data AG | Lead Partner | 2024 | Advising on the acquisition of an approximate 70% stake in Damoon DAC (Ireland), including a contribution-in-kind capital increase, mandatory convertible bonds and an option structure with a total transaction value of approximately €400m.
  • Verbio SE | Lead Partner | 2024 | Advised on the conversion into a European Company (SE)
