Introduction

Annamaria handles a broad range of M&A, private equity, restructuring and energy project work for corporate and financial institution clients in Italy and abroad.

Annamaria's practice focuses predominantly in the areas of M&A/JV, corporate law, restructuring, reorganization of groups, PPP and public tender offers.

She has significant and broad experience in relation to the M&A, private equity and venture capital, investment and shareholders' agreements, as well as extraordinary transactions of the companies (e.g. merger, de-merger, contribution of business, capital increase/decrease), issuance of financial instruments, classes of shares et cetera and general corporate law advice. In particular, she has advised industrial companies, investment funds and banks on M&A transactions both in Italy and overseas, having a focus also on regulated sectors such as oil and gas, utilities, infrastructure and transport.

Annamaria also has experience in the development, maintenance, sale and purchase of complex energy projects, in particular power, renewable industry as well as gas and LNG businesses. Additionally, she has significant experience in acquisition finance, LBOs, public tender offers and national and international litigation and arbitration.

  • A major Saudi Arabian industrial conglomerate on its $1.3 billion acquisition of a listed South African industrial and logistics group, the first cross-border public-to-private transaction of its kind.
  • A leading global asset manager on the initial purchase of a 35% stake in an Italian renewable energy company that develops, builds, and operates renewable energy projects in Italy, the United Kingdom, and Spain.
  • A UK-based infrastructure investment manager on its partnership with an Italian entity with respect to a renewable energy group, whereby the investor will act as financial party to fund through equity instruments the growth of the group's business, supporting the transformation of its business model to become an independent power producer.
  • A UK-based infrastructure investment manager on the acquisition from an Italian industrial group of a 90% stake in the corporate capital of an Italian company operating in the energy and environmental technologies sector.
  • A leading European infrastructure fund on the acquisition, together with a major Italian infrastructure fund, of a leading Italian company operating in the oil and gas (including power generation and retail business) and renewables sectors.
  • A leading Italian asset management company, as management company of an infrastructure investment fund, in relation to a majority investment and the creation of a joint venture with a leading international construction company for the development of a new university campus located in a major innovation district in Milan.

  • A global fund manager on the potential acquisition of the over 1 billion portfolio of batteries of a primary Italian energy player.
  • A global fund manager on the financing for the acquisition of a 49% stake in a primary energy player's €700 million gas distribution business.
  • A global fund manager in the sale of its solar plants to a major infrastructure core fund. The portfolio consists of nine solar parks with a total power capacity of 101 MW and includes the Rovigo plant, one of the largest in Europe with a capacity of about 70 MW.
