Introduction

Alexandra Westerhaus is a Counsel in the Finance practice and a member of our Global Markets Group.

Alexandra focuses on debt capital market transactions and project finance. She advises issuers and lead managers on international debt capital market transactions, derivatives and structured finance, with a particular focus on corporate bonds and structured products. Her experience covers the issuance and repurchase of structured securities and bonds, structured debt instruments (including securitised derivatives), hybrid instruments, registered bonds and promissory note loans.

In the area of project finance, her advisory work focuses in particular on advising institutional investors in connection with the financing of transport infrastructure (in particular, transport modes and roads).

Before joining Ashurst Perkins Coie, Alexandra Westerhaus worked as an associate in the banking and capital markets practice of a German commercial law firm and as a trainee solicitor in the corporate finance department of a leading international law firm in London.

Infrastructure Finance

  • BayernLB | 2026 | Advising on the financing of Stadler Deutschland GmbH for the production of a total of 82 electrically or hybrid-powered multiple units, which in turn will be delivered to DB Regio AG.
  • Banking consortium | 2025 | Advising on the financing of EUR 115 million for the procurement of new battery-powered rail vehicles for the Westmecklenburg II regional rail network.
  • A commercial bank | 2025 | Advising on the financing of seven double-decker electric multiple units for use by DB Regio on the Isar-Noris-Altmühl network in Bavaria as part of a leasing structure provided by DAL Deutsche Anlagen-Leasing.
  • European Investment Bank and UniCredit Bank AG | 2024 | In the EUR 2.4 billion financing of 90 S-Bahn trains for local public transport in Munich.
  • Institutional investors | Lender's legal counsel | 2024 | Debt financing of a German airport in form of a EUR 100m private placement.
  • MEAG MUNICH ERGO Asset Management GmbH | 2023 – 2026 | On a financing for Meridiam for the deployment of several FTTH networks in Germany.
  • Institutional Investors | German local legal counsel | ongoing | Debt financing in infrastructure located in Europe and preparation of investment decision.
  • Investors from Talanx insurance group, NORD/LB, Deutsche Anlagen-Leasing and OstseeSparkasse Rostock | 2022 | 100% green electricity by way of two refinanced fixed-interest loans and a revolving loan as well as the issuance of registered bonds.

  • A national bank | 2025 | Advising on set-up of new German Structured Products.
  • Various U.S., German and UK Investment Banks | Dr. Tobias Krug | Ongoing | Advising in relation to OTC derivatives, the drafting of DRV template documentation, trade-flow handling and netting and collateral opinions.
  • A national bank | 1999- 2024 | Program counsel for the German Structured Products Platform with several base prospectuses linked to a range of underlying's. 
  • Patrimonium | 2020 - 2025 | Advice in relation to Patrimonium's role as strategic financing partner and the refinancing and sale of Willy Bogner GmbH to Katjes International.
