    Ashurst Perkins Coie advises on £345.6 million takeover of Gooch & Housego

    Global law firm Ashurst Perkins Coie is advising J.P. Morgan Securities plc, as financial adviser, on the recommended cash acquisition of Gooch & Housego plc by Greenlight Bidco Limited, owned indirectly by Arlington Capital Partners ('Arlington').

    Gooch & Housego plc is a world leading photonics engineering group with a broad offering of mission-critical photonics and high-precision optical subsystems, increasing momentum in its aerospace & defence portfolio, and exposure to an attractive set of end-market segments, geographies, and customers.

    Arlington has an extensive track record of investing in high quality, highly engineered and mission-critical companies in the aerospace, defence, life sciences and broader regulated sectors, bringing highly relevant expertise in the sectors within which Gooch & Housego operates. Over the past 27 years, Arlington has completed over 200 transactions and currently manages 24 portfolio companies, most of which participate in Gooch & Housego end markets.

    The transaction values Gooch & Housego's entire issued, and to be issued, ordinary share capital at approximately £345.6 million on a fully diluted basis and implies an enterprise value of £400.5 million and a multiple of approximately 25.9 x Gooch & Housego's adjusted operating profit for the twelve-month period ended 31 March 2026.
