Introduction
Will Chalk is a Partner in our London Corporate Transactions team.
Will provides corporate governance and compliance advice to UK and dual-listed, AIM and larger private companies. This includes advice on directors' duties, FCA Handbook and AIM Rules requirements, narrative reporting obligations and governance code recommendations. He also advises on cyber security planning and response.
Will spends a lot of his time providing induction and update training to individual directors, boards, and senior management teams as well as general counsel and company secretaries. He also leads the firm's response to corporate governance reform proposals, working as part of the dedicated Company Law Sub-Committee of the City of London Law Society.
Will has undertaken several secondments including to the UK Listing Authority (as was) and as the acting company secretary of a FTSE 250 telecoms company. Legal 500 have recognized him as a leading individual in corporate governance. He has also been a member of the Financial Reporting Lab's Steering Group and contributed to several books, including The Business Case for Corporate Governance (Cambridge University Press, 2008).
He has contributed to several publications, including the Business Case for Corporate Governance (Cambridge University Press) and A Practical Guide to Directors' Duties (CBI).
- Advising Carnival Corp & plc on the unification of its dual-listing and redomiciliation
- Advising GB Group plc on its move from AIM to the main market
- Advising Peel Hunt plc on its AIM IPO
- Advising a FTSE 250 global manufacturer in response to a significant cyber incident
- Advising a FTSE 250 financial services company on its cyber response governance and related protocols
- Advising a non-departmental government body on directors' duties and related governance materials and training
- Advising numerous FTSE-listed companies on their narrative reporting obligations and AGMs.
- Advising on the practical implications of the UK Market Abuse Regime, including market disclosure and responses to FCA investigations.
- Advising on FTSE board and committee governance protocols and procedures, most recently in response to the ESG agenda.
- Advising an internationally owned UK private company on enhancements to its governance arrangements in response to a government investigation.
