Sarah counsels clients on securities and capital markets matters.

Sarah E. Ross manages public company reporting obligations, including drafting and filing periodic reports, proxy statements, and registration statements. Sarah advises clients on numerous public and private equity raises, including initial public offerings and follow-on offerings, and has led transaction agreement drafting.  

Sarah’s practice also includes corporate governance, where she drafts and maintains key documents, such as insider trading policies and committee charters. She has experience assisting clients with business combination transactions, including M&A and capital markets deals, and managing the initial listing process with stock exchanges. She has also counseled clients on shareholder meetings, annual reports and proxy statements, advised on corporate governance matters, and coordinated with new Section 16 filers.
