Introduction

For more than 25 years, Paul has represented clients in bankruptcy, corporate restructuring, and complex litigation matters.

Paul S. Jasper represents debtors, creditor committees, secured and unsecured creditors, and asset purchasers in nationwide bankruptcy cases and out-of-court workouts and restructurings. He also advises creditors, receivers, and assignees for the benefit of creditors in receiverships, assignments for benefit of creditors, and other state insolvency matters.  

Paul has extensive experience representing creditors’ committees and liquidation trustees in connection with hospital bankruptcy cases. His recent representation of the creditors’ committee and liquidation trustee in Madera Community Hospital’s Chapter 11 bankruptcy case led to the sale and reopening of the hospital and payment of unsecured creditors in full.  

Paul draws on his experience with defaulted corporate trust transactions to advise indenture trustees and other deal parties, including monoline insurers, portfolio managers, and bondholders, on defaulted corporate bonds, structured finance, asset-backed financings, and other complex financings. His work includes post-default servicing, enforcement of remedies, out-of-court restructurings, and related risk mitigation and litigation strategies. 

Paul counsels financial institutions acting as indenture trustees or agents in complex restructuring and liquidation scenariosto assess, negotiate, and protect noteholder interests in Chapter 11 reorganizations, cross-border insolvency proceedings, receiverships, UCC sales, and out-of-court restructurings. 

  • Paul provides guidance to clients on all aspects of collateralized debt obligation, collateralized loan obligation, collateralized bond obligation, and other structured finance-related workouts. His experience includes issues involving termination of synthetic securities and swap agreements, amendments, liquidation of collateral, direct and synthetic commutations, control rights, distribution waterfalls, and related disputes. 

Paul also represents clients in risk mitigation and related commercial litigation, including banks, insurance companies, and other financial institutions; venture capital and real estate investment funds; private and public companies; and hospitals, airports, and other governmental entities. He has advised clients on issues including fraud, breach of fiduciary duty, negligence, breach of contract, and business tort claims.

  • Official Committee of Unsecured Creditors in the Watsonville Hospital bankruptcy case pending in the U.S. District Court for the Northern District of California.
  • Official Committee of Unsecured Creditors in the Madera Community Hospital bankruptcy case in the U.S. District Court for the Eastern District of California.
