Introduction

Nina advises financial institutions on capital market debt transactions, including unsecured and secured lending, project finance, asset securitization, cross-border financings, intercreditor arrangements, and bankruptcy and restructuring matters.

Nina M. Varughese advises clients on unsecured capital market debt transactions and an array of structured finance transactions, including commercial paper conduits, collateralized loan obligations, and securitized asset-backed securities such as shipping and aircraft financings; residential and commercial mortgage-backed securities transactions; esoteric assets; credit card debt; student loan debt; solar projects and other alternative energy projects; coal, mineral mining, oil, gas, and electric projects; and project financing. 

Nina also advises clients on bankruptcy matters, including both in-court and out-of-court restructurings representing debtors, secured and unsecured creditors, indenture trustees, and committees of creditors. She has represented financial institutions and corporate clients in state and federal commercial litigation. She also advises clients on risk mitigation and litigation prevention. 

Nina represents global financial institutions in their capacities as indenture trustees, administrative agents, collateral agents, securities intermediaries, fiscal agents, custodians, depositaries and escrow agents, paying agents, servicers, and other transaction participants in domestic and international matters, including on sovereign debt, Canadian, Latin American, and European cross-border transactions. She also represents Cayman special purpose vehicle issuers in risk mitigation matters, collateral and perfection issues, and winddowns and dissolutions. Nina also works on complex debt restructuring in various industries, including biopharmaceutical, energy (including coal, oil, and gas), transportation (including shipping and aircraft), municipal debt, and consumer debt. She negotiates complex financial agreements, including indentures, administrative agreements, credit agreements, intercreditor agreements, security agreements, agency agreements, escrow agreements, memorandums, and legal opinion letters. She also conducts due diligence, manages Uniform Commercial Code filings and continuance statements, and advises on title and survey issues. 

Nina also writes and speaks on financial transactions and bankruptcy issues.
