Ned A. Prusse represents issuers and investment banks across a broad range of capital markets transactions, including follow-on and secondary public offerings, “at-the-market" and registered direct offerings, Rule 144A financings, private investment in public equity, tender offers, and other strategic transactions.   

Ned also advises clients on SEC compliance and disclosure issues, stock exchange rules and compliance, proxy statements and executive compensation, corporate governance, and general corporate matters. He works with clients in various sectors, including technology, life sciences, industrials, consumer, retail, and energy.
