Introduction

Matthias is an experienced private equity counsel, advising on complex domestic and cross-border private equity, venture capital, and M&A transactions.

Dr Matthias J. Annweiler, M.A. is a counsel in our corporate practice in Munich.

For more than 10 years, Matthias advises national and international private equity funds, asset managers and strategic investors on all aspects of German business and corporate law, in particular domestic and cross-border mergers and acquisitions, joint ventures, corporate restructurings, management incentive plans, and general corporate matters.

As in the previous editions, Matthias is currently ranked “Best Lawyer” by the 2027 edition of “Best Lawyers: Ones to Watch” for Private Equity Law, Mergers and Acquisitions Law, and Corporate Law. Furthermore, Matthias has been recognized as recommended lawyer by Legal 500 EMEA 2025 and 2026 for "Private Equity Transactions: Mid-Sized Deals" in Germany. In addition to his practice, he frequently authors various professional publications, including books, book contributions and scientific articles, focusing on corporate transactions, executive body liability, and foreign direct investments (FDI).

Matthias graduated from University of Bonn, where he also received a Ph.D. with a doctoral thesis in public international law. Furthermore, he holds a Master in General Management from Nordakademie – Graduate School, Hamburg.

  • Neuplaner Audit GmbH Wirtschaftsprüfungsgesellschaft, a portfolio company of Arbor Capital | March 2026 | Advising on the implementation of its buy-and-build strategy and the related acquisition financing.
  • Houlihan Lokey Germany AG | January 2026 | Advising on the acquisition of all assets relating to the European Real Estate Capital Advisory business of Mellum Capital GmbH.
  • ResInvest Group | September 2025 | Advising on the acquisition of the Datteln 4 coal-fired power plant from Uniper SE.
  • Apollo and certain other shareholders on the sale of the share capital of German bank Oldenburgische Landesbank (OLB) to TARGO Deutschland GmbH, a subsidiary of leading French cooperative bank Crédit Mutuel Alliance Fédérale.
  • Goldman Sachs Asset Management | 2024 | Advising on its acquisition of Melita, a fully converged digital infrastructure owner and operator delivering broadband, mobile connectivity and data center solutions across Malta.
  • Dover Corporation | 2023 – 2024 | Advising on the sale of the Destaco business unit, a designer, manufacturer, and marketer of workholding and automation components for industrial automation applications, for an enterprise value of US$680 million to Stabilus SE.
