Introduction
Luca heads the Italian financial regulation team, advising banks, investment funds and financial intermediaries on a broad range of regulatory matters.
Luca Lo Pò has extensive experience advising banks, investment funds, financial intermediaries and other financial institutions on regulatory matters related to MiFID II, AIFMD and UCITS, Market Abuse regulation, Short Selling, banking (including CRR and CRD) and payment services regulation, AML and insurance.
His knowledge also extends to financial markets and corporate finance transactions, where he has handled significant fund formation matters, equity capital markets transactions (such as IPOs and capital increases), M&A transactions involving/by regulated entities and listed companies, domestic and international issuances of bonds, structured products and subordinated debt securities, including AT1 and Tier 2 instruments.
Dual-qualified in both England and Wales as well as Italy, Luca is highly regarded for his experience in financial regulation and capital markets and is frequently invited to speak at industry seminars and conferences. Luca is also ranked in the major legal directories for his authority in financial regulation and capital markets.
Prior to joining Ashurst Perkins Coie, Luca worked at the Listed Companies Supervision Division at the Italian Stock Exchange and at Italian and international law firms in London and Milan, where he has also served as Italian and European head of financial regulation.
- Leading Italian private bank and asset management company - Assistance to a leading Italian asset management company and a leading Italian bank in the acquisition of a business line from another Italian asset management company, including the management/delegation of management of 11 funds.
- A UK-based FCA regulated investment firm – Assistance to a UK FCA regulated investment firm in the authorization procedure to operate in Italy as a third-country investment firm on a freedom-to-provide services basis.
- Italian leading local bank – Assistance in (i) the sale of its qualifying holding in a leading banking IT full-outsourcer to a private equity group controlled by international private equity funds and (ii) the renegotiation of the IT full-outsourcing agreement with the same company.
- A Dutch-incorporated payment services provider – Assistance in the offering in Italy, on a freedom-to-provide service basis, of so-called 'virtual IBANs'.
- Three Italian independent banks – Assistance in (i) the regulatory analysis of the implementation of the amendments to the Payment Services Directive II in relation to instant payments; (ii) the drafting of the unilateral amendment notices to customers for the introduction of the necessary contractual changes; and (iii) the drafting of the new payment services terms of business incorporating instant payments.
- A UK-based FCA regulated investment firm – Assistance in the admission procedure with the Italian Stock Exchange for the base prospectus for the issuance and listing of certificates in, inter alia, Italy.
- A company listed on the Euronext Growth Milan market – Assistance in the potential acquisition of a leading fintech group active in buy-now-pay-later, lending-as-a-service and AI credit scoring services. The target group controls an Italian asset management company and an Italian payment institution.
- A leading IT full-outsourcer for banks and financial intermediaries – Assistance to the company and its shareholders in the sale of a majority stake in its share capital to five Italian banks.
- A regional financial guarantee institution – Assistance in (i) the procedure before the Bank of Italy for the extension of its regulatory authorizations and (ii) the drafting of the new standard agreements as well as pre-contractual and transparency documents relating to advance payment sureties for public subsidies.
- The Italian branch of an international investment bank – Assistance in an internal due diligence process aimed at assessing compliance with (i) the DORA Reg.
