Euan Fergusson

Since qualifying as a solicitor in 2002, Euan has been involved in all aspects of the design, implementation and operation of UK national and international equity and cash based incentive plans. During this time, his focus has centered on:

1. the design, implementation, and operation of compensation plans at executive and all-employee level for national and international clients (predominantly corporates and private equity houses);
2. the creation of employee trusts to facilitate the operation of compensation plans;
3. the bespoke planning for tax efficient arrangements and cross-border issues; 
4. providing a pivotal role  in the context of transactions (IPO, M&A etc) on all aspects of share plan matters; and
5. advising on the rights attaching to managers’ shares under management incentive plans typically implemented and operated as a consequence of private equity backed transactions.

Euan works closely with many share plan administrators and corporate trustees, and is well placed to provide support on all aspects of incentive type arrangement, well beyond the traditional legal advisory role. Euan is well known within the share plans industry and he has attended, and presented at, industry conferences for NASPP, Global Equity Organization and European Networking Group. Euan has been recommended by The Legal 500, and listed as a notable practitioner in Chambers UK - "It is his technical knowledge that makes him stand out."

Prior to qualifying as a solicitor, Euan was a qualified chartered company secretary, and former Lloyd’s compliance officer, with 10 years’ experience working in the investment banking and Lloyd’s insurance sectors. This has given Euan the invaluable ability to relate to clients from both an internal business and external advisory perspective.
