Often serving as outside general counsel, Elaine represents privately held and family-owned companies in transactional matters including M&A, joint ventures, and equity and debt financings.

Elaine Kwak specializes in partnership and LLC matters, drafting and negotiating complex operating and partnership agreements for investors and companies. More broadly, she advises private companies on corporate governance, organizational structure, and strategic planning. This includes guiding companies through corporate restructurings, from strategic rationale through execution and downstream impact. 

While her practice spans multiple industries, Elaine has worked extensively in consumer products, food and beverage, and agriculture, counseling clients on commercial contracts throughout the supply chain, including product development, supply, manufacturing, co-pack, private label, warehousing, marketing, and distribution. 

Elaine maintains an active pro bono practice, advising nonprofit organizations on tax-exempt status, entity formation, and general corporate matters.
