Property Finance

  • Advised the lenders on the senior secured club loan facilities provided to Charter Hall Retail REIT, in one of the biggest secured real estate financings in the Australian real estate finance market this year. Charter Hall Retail REIT is one of the largest Australian property trusts focusing on prime retail assets in Australia and New Zealand with a portfolio of 699 wholly owned or co-owned retail properties.
  • Advised ESR and a capital market company on the covenant lite senior secured club loan facilities provided to ESR Australia Logistics Partnership. This is one of very few covenant lite real estate financings ever completed in the Australian real estate finance market to date. ESR Australia Logistics Partnership is a core plus fund with a portfolio of 35 stabilized logistics assets.
  • Advised the MLABs and Green Loan Coordinators on the syndicated senior secured green loan construction facilities provided to a joint venture owned by The Living Co., EPF Investment Fund Malaysia, Bouwinvest and Varsity to construct a 55-storey mixed-use over-station development above the State Library Metro Station in Melbourne.
  • Advised the MLABs on the syndicated senior secured loan facilities provided to Charter Hall Ampol Property Fund to acquire a 49% interest in the Ampol Property Trust. The Ampol Property Trust owns a portfolio of over 300 retail service stations in Australia.
  • Advised the Discovery Group, the largest independent owner and operator of holiday accommodation parks in Australia, on its syndicated and bilateral corporate debt facilities.
  • Advised the MLAUBs on the backstop facilities provided to a Charter Hall managed vehicle which bid and acquired 50.1% of ASX-listed Hotel Property Investments.
  • Advised the syndicate of lenders on the syndicated senior secured facilities provided to the Scape JV2 Fund. The Scape JV2 Fund owns 6 separate student accommodation assets.

Corporate Finance

  • Advised the MLABS on the syndicated senior secured multi-currency global debt facilities provided to IPH Limited.
  • Advised ASX listed Washington H. Soul Pattinson on the financing aspects of its A$14bn merger with Brickworks, including advising Washington H. Soul Pattinson in relation to the equity derivatives put in place to support the acquisition.
  • Separately advised ASX-listed Downer EDI Limited, Maas Group Limited, Fletcher Group Limited and ARN Limited on the syndicated and bilateral debt facilities provided to each of these groups.
