Introduction
Ben is an award-winning corporate lawyer advising on listed takeovers, schemes of arrangement, private M&A and equity capital raisings across Australia and globally.
Ben Stewart advises on ASX-listed company takeovers, schemes of arrangement, private M&A, joint venture transactions and equity capital raisings. He acts for corporate, private equity and investment banking clients across several sectors with a principal focus on energy and resources.
Ben has experience acting on cross-border and regulated acquisitions and has worked on some of the most significant and complex corporate transactions in Australia and globally, including in Africa, the Americas, India and the UK/Europe.
Ben also advises on corporate governance requirements and general compliance under the Corporations Act and the ASX listing rules for the ongoing management of ASX-listed public companies.
Prior to joining Ashurst Perkins Coie, Ben worked at a leading US law firm in London and was part of the team that advised Comcast Corporation on its £30.6 billion competitive takeover offer for Sky plc, and Reliance Industries on its unprecedented series of capital raisings from world leading strategic and financial investors amounting to over US$25 billion. Ben also completed a secondment at the Australian Takeovers Panel in 2016.
In 2025, Ben was recognized as a leading corporate lawyer in Western Australia by Doyle's Guide. In 2017, Ben was recognized as winner of the M&A category in the Australian 30 under 30 awards.
- Montage Gold Corp | Partner | 2025/2026 | Advised Montage Gold (TSX:MAU, OTCQX:MAUTF) on its (i) 19.9% investment in and subsequent all-scrip acquisition of African Gold by way of share and option schemes of arrangement for an implied target value of approx. A$641 million, and (ii) 9.9% investment in Aurum Resources.
- Vulcan Energy Resources Limited | Partner | 2022-2025 | Advised Vulcan Energy Resources (ASX/FSE:VUL) on over A$1.5 billion of equity capital markets transactions and its dual listing on the Frankfurt Stock Exchange, including its ~ A$975 million institutional placement and accelerated non-renounceable entitlement offer completed in December 2025.
- Barrenjoey and Canaccord | Partner | 2024 | Advised Barrenjoey and Canaccord as joint lead managers in relation to the A$1.15 billion IPO and dual listing of Metals Acquisition Limited on ASX, and Barrenjoey on MAC’s subsequent $150 million institutional placement.
- Tattarang | Partner | 2023 | Advised Tattarang (Andrew and Nicola Forrest's private investment group) on its acquisition of Akubra Hats.
- Lithium Power International Limited | Partner | 2022-2023 | Advised Lithium Power International (ASX: LPI) on its (i) A$385 million acquisition by Corporación Nacional del Cobre de Chile (Codelco) by way of scheme of arrangement, and (ii) consolidation of the ownership of the Maricunga Lithium Project in Chile, via a three-party all scrip merger with its joint venture partners, prior to such acquisition.
- Sibanye Stillwater Limited | Partner | 2022-2023 | Advised Sibanye Stillwater (JSE:SSW, NYSE:SBSW) on its (i) A$150 million unsolicited takeover bid for New Century Resources Limited (ASX: NCZ), and its initial 19.99% investment in New Century, and (ii) US$70 million investment in ioneer Limited (ASX: INR).
- Develop Global Limited | Senior Associate | 2022-2023 | Advised Develop Global (ASX:DVP) on its acquisition of Heron Resources Limited for A$137 million and associated A$50 million capital raising by way of placement and accelerated non-renounceable entitlement offer.
- Galaxy Resources Limited | Senior Associate | 2020-2021 | Advised Galaxy Resources (ASX: GXY) on its (i) A$4 billion merger with ASX listed Orocobre Limited (ASX: ORE) by way of scheme of arrangement to create a top-five global lithium chemicals company known as Allkem Limited (ASX: AKE), and (ii) A$161 million capital raising by way of placement and accelerated non-renounceable entitlement offer to finance its Sal de Vida Project.
- HBF Health Limited | Senior Associate | 2021-2022 | Advised HBF, one of Australia's fastest growing private health insurers, on its acquisition of the physiotherapy and allied health business Life Ready Health Group.
- Reliance Industries Limited | Senior Lawyer | 2020 | Advised Reliance Industries (NSE: RELIANCE), India's largest private sector company, on its (i) US$25 billion unprecedented capital markets transaction in Jio Platforms (India's largest telecom network) with world leading strategic, financial and sovereign wealth investors, and (ii) joint venture with BP plca multinational oil and gas company in relation to Reliance's retail petroleum business in India.*
- Comcast Corporation | Senior Lawyer | 2018 | Advised Comcast Corporation (NASDAQ: CMCSA), owner of Comcast Cable and NBCUniversal, on its successful £30.6 billion competitive takeover for LSE listed Sky plc and, on its US, $65 billion proposed acquisition of Twenty-First Century Fox.*
