Dual-qualified, he recently returned to Australia after spending nine years as a partner at a leading international law firm in the UK, bringing valuable global insights to his practice.
Andrew has advised on major technology procurement and implementation projects, including cloud services, AI tools, SaaS agreements, and master technology and services contracts. He has played a key role in drafting, negotiating, and aligning IT procurement agreements to market standards while optimizing risk profiles. With deep experience in commercial contracting, digital strategy, and regulatory compliance, Andrew provides pragmatic, business-focused legal advice that helps organizations enhance operational efficiencies and manage technology-related risks effectively.
- 7-Eleven Stores Pty Ltd | Partner | Advised on a major project for the procurement and implementation of an updated point-of-sale solution with a leading global technology vendor. Provided guidance on the negotiation of key data handling provisions and the development of the overall rollout strategy across a national retail network.
- 7-Eleven Stores Pty Ltd | Partner | Advised on the $1.99 billion sale of a national fuel and convenience store network comprising nearly 800 stores. Provided guidance on IT, data and privacy aspects of the transaction, including the negotiation of a new long-term fuel supply agreement and data-sharing arrangements with separating entities.
- Major Australian Bank | Partner | Advised on the due diligence and transaction phases of a major banking acquisition, negotiating and settling the Transitional Services Agreement within a tight four-to-six week timeframe. Provided guidance on complex pre-completion legal issues, including the transfer of core banking systems, and continues to support post-completion integration.
- Major Australian Bank | Partner | Advised on the preparation of a template Group Master Supply Agreement with tailored modules for BPO, professional services, SaaS and cloud hosting. Led negotiations with a global professional services firm on the agreement and associated Statements of Work for the delivery of key services and deliverables.
- Major Australian Bank | Partner | Advised on the buyout of a European payments processor's controlling share in a joint venture payments business, returning the merchant acquiring operations to the banking group. This strategic acquisition supports the client's ambition to deliver a holistic banking offering and become a leading regional payments and transaction bank.
- McGrathNicol | Partner | Advised receivers and managers on the technology, data, privacy and cyber security workstreams for the sale of a hospital portfolio, including vendor due diligence across IT systems, SOCI Act obligations and transactional documentation. Provided guidance on data segregation strategy, patient information transfer and clinical records management.
- Pharmx Technologies Ltd | Partner | Advised on a strategic alliance with two major pharmacy and healthcare companies following a significant reverse merger. Negotiated and drafted a comprehensive suite of transaction documents, advised on competition law issues and ACCC liaison, and provided guidance on ASX continuous disclosure obligations throughout the transaction.
