Alyssa Phillips has extensive experience assisting companies to secure merger clearance for complex M&A transactions, as well as to resolve substantial competition, consumer law and energy regulatory investigations.
- Aurizon: Successfully defending ACCC proceedings (up to the High Court) seeking to prevent the sale of Aurizon’s Acacia Ridge rail terminal to Pacific National.
- Callide Power Trading: Acting for CPT in resolving proceedings by the Australian Energy Regulator in respect of contraventions of the National Energy Rules.
- Cleanaway: Securing ACCC merger clearance for the acquisition of the Melbourne Regional Landfill, the Citywide Waste business, Toxfree, selected Suez waste management assets and a range of other transactions in the waste management sector.
- Delta Ag: Securing ACCC merger clearance for the acquisition of Delta's retail merchandise business by Elders, subject to divestments.
- Downer: Advised on the divestment of the Downer Mining business (including the Otraco tyre business) to multiple acquirers including BUMA and Bridgestone.
- Iluka: Advised on global merger control issues arising from its acquisition of Sierra Leone-based Sierra Rutile, including securing Phase II merger clearance from Germany.
- Mitsubishi Development: Advising on competition law aspects of its acquisition of a 30% interest in the Aurukun Bauxite Project from Glencore, on the sale of its 50% interest in the Daunia and Blackwater metallurgical coal mines, and the divestment of its interests in Boyne Smelters and Gladstone Power Station.
- Nutrien: Securing ACCC merger clearance for the acquisition of the RuralCo retail merchandise business, subject to divestments.
- Pernod Ricard: Securing ACCC merger clearance for the acquisition of the Pernod Ricard Wine business by Accolade Wines.
- Shell: Advised on securing ACCC merger clearance for its acquisition of ERM Power.
- Leading Australian retailer: Advised on securing ACCC merger clearance for the acquisition of a pet care retailer.
