Introduction
Alex advises banks, corporates, sponsors, institutional investors and governmental authorities on complex debt capital markets and structured finance transactions, delivering strategic, commercially-focused solutions on domestic and cross-border financings.
Alex Biles advises on a broad range of debt capital markets structured finance transactions. He advises on standalone bond issues and debt issuance programs, hybrid and regulatory capital transactions, covered bonds and liability management transactions (distressed and non-distressed). He advises on a range of structured finance transactions, infrastructure financings and bank/bond structures. Alex's practice also covers market-leading debt capital transactions featuring sovereign issuers, government guarantees or government-backed credit support. He acts for issuers (corporates and FIGs), sponsors/shareholders, banks, credit enhancement providers and institutional investors.
Alex advises on regulatory developments concerning the debt capital markets and structured finance transactions and led on various LIBOR transition projects.
- Global energy company | Advised bp on its European treasury funding programs, including its US$40 billion Debt Issuance Program, US$10 billion Euro Commercial Paper Program and global debut issuance of US$12 billion corporate hybrid bonds and subsequent issues of €400 million and €750 million of corporate hybrid bonds.
- Global bank | Advised Santander on its €35 billion Global Covered Bond Program, $20 billion US Commercial Paper Program, US$10 billion Euro-Commercial Paper Program and £20bn Certificate of Deposit Program.
- Global bank | Advised Jefferies Financial Group Inc. on its US$6.5 billion Euro Medium Term Notes Program.
- Global financial institution | Advised Dexia on its treasury funding programs guaranteed by the States of France and Belgium, including its US$20 billion Guaranteed US Medium Term Note Program, €45 billion Guaranteed Euro Medium Term Note Program and €45 billion Global Medium Term Note Program.
- UK bank | Advised Barclays, Goldman Sachs and NatWest as joint lead managers and dealer managers on the issue by Shawbrook Group of £250 million Fixed Rate Reset Perpetual Additional Tier 1 Write Down Capital Securities and tender for its £124 million Fixed Rate Reset Perpetual Additional Tier 1 Write Down Capital Securities.
- Infrastructure sponsor| Advised Arjun Infrastructure Partners on its debt-for-equity restructuring of a portfolio of organic waste to renewable natural gas projects in Italy, built, owned and operated by Anaergia Inc.
- Institutional investors | Advised on the issue of €250 million Class A Notes due 2069 and €75 million Class B Notes due 30 2074 to finance the sale and lease-back of the Port Aventura theme parks.
- Commercial lenders and institutional investors | Advised the syndicate of commercial lenders and institutional investors on the £681 million financing of the UK rolling stock fleet of Corelink Rail.
- Infrastructure sponsors | Advised Connect Plus (M25) and the consortium of sponsors on the issue of £892.6 million 2.607% Guaranteed Bonds due 2039 to refinance the M25 DBFO Contract.
- Infrastructure sponsors | Advised a consortium of sponsors on the financing aspects of the £600 million Mersey Gateway Bridge PPP road project.
- Global bank | Advised on the LIBOR transition project involving the remediation of approx. 5,000 contracts across syndicated lending, bilateral lending and derivatives markets – Winner of the FT Innovative Lawyers Award 2022 for Innovation in Multi-disciplinary Teams.
