Suyash Raiborde focuses on the development, financing, and delivery of large-scale infrastructure projects. Clients engage Suyash to help make fundamental business decisions that shape a project’s success, including allocating risk, structuring procurements, and sequencing project milestones.
Over the past decade, he has advised public authorities, private developers, investors, lenders, and project sponsors on the commercial and structural issues involved in bringing complex projects from concept to completion. His work spans procurement strategy, risk allocation, financing structure, and construction delivery across the energy, transportation, aviation, and civic development sectors.
Suyash's project experience includes developing large mixed-use and civic assets, such as arena and entertainment district developments, on-campus student housing and hotel facilities, major transportation and transit infrastructure, and autonomous vehicle corridor programs. He also advises on the financing and development of energy assets, including utility-scale battery storage, natural gas generation, transmission infrastructure, solar generation, including distributed generation assets, and data center facilities.
Across these engagements, Suyash has experience with alternative project delivery methods, including public-private partnerships (P3), progressive design-build, design-build-finance-operate-maintain, and design-build-operate-maintain.

- Denver arena and mixed-use development | Represented a municipal public-private partnership (P3) office on the structuring and procurement of a 62-acre design-build-finance-operate-maintain project, including a 10,000-seat arena, an expo hall, and structured parking assets.
- Honolulu rapid transit system | Represented a municipal transit authority on an availability payment procurement for a rapid transit system.
- Airport terminal development and operations | Represented an airport authority on a lease and terminal development project agreement, developing a first-of-its-kind contracting model approved by the Federal Aviation Administration that paired airport terminal development with airport operations contracting outside the Airport Investment Partnership Program.
- Viaduct replacement design-build procurement | Represented a regional transportation authority in the procurement to replace a major roadway viaduct, incorporating P3 risk allocation provisions into design-build contracting and harmonizing technical specifications with the design-build agreement.
- Autonomous vehicle transit corridor program | Represented a municipal transit authority on an autonomous vehicle transit program, including procurement of a Phase I innovation corridor.
- Design-build ADA accessibility upgrades | Represented a regional transit authority on its design-build program, including procurement of a design-build-maintenance station upgrade project to improve accessibility under the Americans with Disabilities Act (ADA).
- On-campus hotel and conference center | Represented a public university on the development of an on-campus hotel and conference center through a public-private partnership, including transaction structuring, negotiations, and drafting of deal documentation.
- Entertainment district and soccer stadium | Represented a municipality in the development of an entertainment district and soccer stadium. Drafted and negotiated a long-term lease and project agreement, including a capital structure combining state funds, private investment, and taxable bonds.
- On-campus student housing development | Represented a public university as development and bond counsel on the development of an approximately 1,000-bed, 11-story, on-campus student housing facility with 14,000 square feet of retail space. Drafted and negotiated the development agreement for the project, which used a construction manager at risk model.
- Downtown government center redevelopment | Represented a county government in the procurement and development of a 40-acre downtown parcel to replace outdated county offices with a new administrative building and mixed-use development, using a predevelopment agreement as the project delivery method.
- Utility-scale battery storage financing | Represented a project owner in a hybrid financing involving preferred equity and debt for a 400MW/800MWh standalone battery storage project in Texas. When construction began, the project was the state’s largest standalone battery storage project.
- Wind farm and data center development and offtake | Represented a wind farm facility in complex negotiations—including development and offtake—with a hyperscaler seeking to develop an adjacent data center.
- Distributed generation solar sale-leaseback | Represented a sponsor in the sale-leaseback of its distributed generation solar portfolio through the United States.
- Natural gas plant fuel conversion agreement | Represented the owner of a natural gas power plant in negotiating and drafting a fuel conversion services agreement with a data center, addressing asynchronous completion of multiple gas turbines within the power plant.
- High-voltage transmission line build-transfer | Represented a utility in a build-transfer agreement for a high-voltage transmission line and associated infrastructure.
- Solar power joint venture | Represented a solar power generator in a joint venture operating agreement with a fund, including negotiating timing of capital contributions, management rights, and waterfall distributions to members.
- Modular data center sale-leaseback | Represented a manufacturer of modular data centers (MDCs) in a sale-leaseback transaction involving tailored risk allocation to address the counterparty's dual role in completing construction and supplying power to the MDCs.
