Nicholas Luciano

Nicholas Luciano represents issuers and underwriters in registered offerings and private placements of equity and debt securities, including initial public offerings, follow-on offerings, at-the-market offerings, private investments in public equity, convertible note offerings, and investment-grade and high-yield debt offerings. He regularly counsels boards of directors and senior management on Securities and Exchange Commission reporting and disclosure obligations, annual and special stockholder meetings and related proxy materials, director and executive compensation matters, and compliance with New York Stock Exchange and Nasdaq Stock Market listing standards. 

Drawing on broad corporate and securities law experience, Nicholas advises clients on public and private mergers and acquisitions, including business combinations involving special purpose acquisition companies. He also advises clients on a broad range of corporate governance matters, ranging from the drafting of organizational documents and board committee charters to the development of key governance policies.

In addition, Nicholas advises emerging companies, founders, and investors on capital-raising and strategic transactions, including venture capital financings from seed through late-stage growth rounds, liquidity events, and exit strategies.
