Introduction
Neema advises private equity sponsors and strategic buyers and sellers on private equity and M&A transactions.
Neema Nodoust counsels clients on portfolio company governance and financing matters and manages diligence and closing processes through implementation. He has experience drafting and negotiating a wide range of transaction documents, including purchase agreements, LLC agreements, and LP agreements. Neema also works with equity commitment letters, limited guarantees, and subscription and contribution agreements.
In addition, Neema handles joinders, equity grants, profit interest agreements, and management equity agreements. His experience also includes board and shareholder consents, restrictive covenant agreements, and related diligence and closing deliverables.
Neema is committed to pro bono immigration matters, guiding clients through document preparation and filing, and providing language support for Spanish- and Persian-speaking clients. He also co-authored “New California law requires diversity reporting for venture capital and private equity firms,” published by Reuters.
